1. Acceptance of Terms

By accessing or using QuantaEdge (“the Service”), operated by QuantaEdge LLC (“Company”, “we”, “us”), a subsidiary of Quanta Holdings LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

QuantaEdge is an algorithmic trading signal delivery platform. The Service generates regime-aware options, equity, and futures trading signals and delivers them to subscribers via TradersPost for automated execution in your own brokerage account.

The Service provides informational signals only and does not constitute investment advice. We do not execute trades on your behalf and are not a registered investment advisor, broker-dealer, or fiduciary.

3. No Fiduciary Duty

QuantaEdge LLC owes no fiduciary duty to any subscriber. The signals provided are for informational and educational purposes only. We do not provide personalized investment advice. You are solely responsible for your own trading decisions and should consult a qualified financial advisor before trading.

4. Subscription Terms

• Founding Member Rate: The founding member subscription is $100 per month, billed monthly via Stripe. This rate is locked for the lifetime of your continuous subscription.
• Auto-Renewal: Subscriptions automatically renew each billing cycle. You will be charged at the beginning of each renewal period.
• Cancellation: You may cancel at any time from your account settings or by emailing [email protected]. Access continues through the end of the current billing period. No prorated refunds for partial months.
• Refunds: All fees are non-refundable except where required by applicable law.
• Price Changes: We reserve the right to change pricing for new subscribers with 30 days notice. Founding member pricing is locked for the duration of continuous subscription.

5. Signal Disclaimer

Trade signals are generated by automated algorithms based on historical data, regime detection, and quantitative models. Signals are not guarantees of profit. Past performance, including paper trading results, does not guarantee future results.

• Signals may be delayed due to technical issues
• Market conditions may change between signal generation and your execution
• Slippage, commissions, and fees are not accounted for in displayed results
• We make no warranty about signal accuracy, timeliness, or profitability

6. Acceptable Use

You agree not to:

• Resell, redistribute, or publicly share signals without authorization
• Reverse engineer our algorithms or attempt to extract proprietary data
• Use automated means to scrape or access the Service beyond API rate limits
• Provide false information during registration
• Use the Service for any unlawful purpose

7. Intellectual Property

All algorithms, models, signals, content, and software are the intellectual property of Quanta Holdings LLC. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for personal trading purposes only.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTAEDGE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the Service
• Any trading decisions made based on our signals
• Unauthorized access to your account
• Service interruptions or errors

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless QuantaEdge LLC, Quanta Holdings LLC, their officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms, at our sole discretion. Upon termination, your right to use the Service ceases immediately.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Delaware.
